Cambodia Extends Penalty Relief for Late Company Filings to Boost Compliance

PHNOM PENH, Aug 7, 2026 (KPT) – The Ministry of Commerce has extended penalty relief for companies that failed to submit annual declarations, granting six more months for compliance in a move aimed at strengthening corporate governance and transparency. The ministry said firms with overdue filings will only be required to pay the penalty for the most recent year, rather than accumulating fines for multiple years, provided they meet conditions within six months of the notification. To qualify, companies must pay the latest penalty, settle service fees for all outstanding years and undergo shareholder background checks in line with Cambodia’s anti‑money laundering framework. Ministry said the extension followed requests from businesses seeking to regularize their status after missing earlier deadlines. A penalty waiver introduced in January had allowed filings to be updated by April 1; the latest decision extends that relief for another six months. The ministry warned that companies failing to comply will be classified as inactive, a status that could affect their legal rights and operations under Cambodian law. Inactive firms may face restrictions on conducting business, entering contracts or accessing financial services. The measure is part of wider government efforts to improve corporate compliance, combat financial crimes and align Cambodia’s business environment with international standards. The ministry urged company owners and managers to submit declarations on time and encouraged those facing technical issues with the online registration system to contact its public hotline for assistance.
