Cambodia's Evolving Stance on Trade Secret Protection

While Cambodia has yet to establish a comprehensive legal framework for the protection of trade secrets, clauses within employment contracts, such as non-disclosure and non-competition agreements, are serving as de facto safeguards. This situation highlights the current reliance on contractual obligations in the absence of specific legislation. Experts note that for information to qualify as a trade secret, it must meet four conditions: confidentiality, general unknowability, reasonable efforts by the owner to maintain secrecy, and commercial value. However, many companies in Cambodia may find it challenging to demonstrate the efforts made to keep information confidential or to prove its economic value. Currently, clauses like Non-Disclosure Agreements (NDAs), non-competition, non-solicitation, and assignment clauses embedded in employment contracts are the primary means to prevent the leakage or misuse of former employers' trade secrets. The importance of these provisions is particularly pronounced in industries like technology and consulting, where the risk of employees taking proprietary information from previous roles is high. International disputes, such as Apple's lawsuit against OpenAI over alleged trade secret theft by former employees, underscore the global significance of this issue. As Cambodia continues to strengthen its intellectual property rights regime, the progression of legislation specifically addressing trade secrets will be a key development to watch.
